Certificate of Incorporation

of

ASSOCIATES OF LOCH RAVEN VILLAGE, INC.

THIS IS TO CERTIFY:

First: That we, the subscribers, Joseph H. Baker, J. Artie Bowersox and Howard C. Van Riper, all of Loch Raven Village, Baltimore County, Maryland, and all being of full legal age, do under and by virtue of the General Laws of the State of Maryland authorizing the formation of corporations, associate ourselves with the intention of forming a corporation.

Second: That the name of the corporation (which is hereinafter called the "Corporation") is:

ASSOCIATES OF LOCH RAVEN VILLAGE, INC.

Third: The purpose for which the Corporation is formed and the objects to be promoted by it are as follows:

To organize and operate an association of persons residing at Loch Raven Village, to:

  1. Promote civic, intellectual and educational welfare of the community.
  2. Foster and furnish recreational opportunities and advantages for its members.
  3. Organize efforts and resources, either public or private, for the furtherance of the purposes and objects of the association. And for other non-profitable purposes, no part of the net earnings of which is to inure to the benefit of any member.

For the purposes aforesaid, the Corporation shall have the following powers:

  1. To purchase, or otherwise acquire, hold, mortgage, pledge, sell, transfer or in any manner encumber or dispose of goods, wages, merchandise, implements, and other personal property or equipment of every kind.
  2. To purchase, lease or otherwise acquire, hold, develop, improve, mortgage, sell, exchange, let, or in any manner encumber or dispose of real property wherever situated.

The aforegoing enumeration of the purposes, objects and business of the Corporation is made in furtherance, and not in limitation, of the powers conferred upon the Corporation by law, and is not intended, by the mention of any particular purpose, object or business mentioned, or to limit or restrict any of the powers of the Corporation. The Corporation is formed upon the articles, conditions and provisions, herein expressed, and subject in all particulars to the limitations relative to corporations which are contained in the general laws of this state.

Fourth: The post office address of the place at which the principal offices of the Corporation in this State will be located is Loch Raven Village, Baltimore County, Maryland. The resident agent of the Corporation is John N. Raine, Jr., whose post office address is Masonic Building, Towson 4, Maryland. Said resident agent is a citizen of the State of Maryland and actually resides therein.

Fifth: The Corporation shall have no capital stock.

Sixth: The Corporation shall have directors in the numbers specified in by laws to be adopted at a subsequent date, said number not to be less than three and the subscribers hereto shall act as directors of the Corporation until the first general meeting, or until their successors are duly chosen and qualified in accordance with the by laws.
